Modeling a round is common ground worth checking depth on directly.
Diligence Ready models priced rounds, SAFEs, pool refreshes, and exit waterfalls on your live cap table, detailed on the scenario modeling page. Carta's own materials describe scenario and waterfall modeling as part of its equity management suite.4 The depth and workflow of each are worth trying directly rather than taking either description at face value.
Scenario modeling →Where Diligence Ready's approach differs, and where it has limits.
Diligence Ready connects the cap table to an ongoing diligence checklist and a shareable data room, built from documents kept current in your own Google Drive or OneDrive. Diligence Ready is a newer, narrower platform than Carta's broader equity management suite, and doesn't offer 409A valuations, fund administration, or the add-on services Carta lists on its pricing page. Whether that tradeoff makes sense depends on what your company actually needs.
Ask these before moving a cap table off Carta or anywhere else.
- ✓ How will historical transactions and prior versions transfer?
- ✓ Do you rely on Carta add-ons, like 409A valuations, that aren't part of Diligence Ready?
- ✓ Who needs to review the migrated cap table before you rely on it?
