This is a records checklist, not a guide to choosing a new tool. If you want to compare options, see our Pulley alternative page. Here we cover what to pull out of Pulley, where to keep it, and how to check it, so your cap table holds up the next time someone reviews it.
The dates that matter
These come from Pulley’s shutdown FAQ, dated September 15, 2026:
- November 30, 2026: the date to opt in to sharing your contact and contract details with Carta. Pulley says this opt-in only permits that contact sharing and is not itself an agreement to migrate. Separately, export and verify your records before November 30, and confirm account-specific access with Pulley.
- December 8, 2026: the Pulley app is no longer accessible, and Pulley’s team is no longer available to help.
- January 31, 2027: the end of access to your Pulley data in a limited format.
Pulley also says it can’t help with a move to any provider other than Carta. Either way, your own exports are your record. Export and check them before November 30, and confirm with Pulley what access your account will have after that date. Don’t count on full export access through December 8.
Pulley shutdown checklist in 6 steps
1. Export everything before November 30
Pulley’s export guide lists these downloads:
- Cap table: Cap Table, then Download Cap Table, then All Time. This gives you an Excel file of the full history, not just today’s numbers.
- Data Room documents: Company, then Data Room, then Download All. Pulley says this gives one ZIP file of the documents uploaded or generated there (agreements, board consents, auto-generated documents and files), with your folder structure kept. It holds what was uploaded, which may not be every signed or complete record.
- Certificates: Certificates, then Download All Certificates, if you issued certificates through Pulley.
- Equity reports: Company, then Reports. Download Granted Securities, Vesting Details, Exercised Options and Cancelled Securities as Excel or CSV.
2. Save the files somewhere your company controls
Put everything in one company-owned folder, such as a shared Google Drive or OneDrive folder, not a personal account. Keep the ZIP’s folder structure as it is. Add the export date to the folder name, so anyone can see which version they’re looking at.
3. Open every file and check it is complete
Open the cap table file and the ZIP before November 30, not after. Check that every holder and every security class you expect is there, and that the totals look right. If something is missing, export it again while you still can, and ask Pulley about your account’s access.
4. Match each transaction to its supporting records
Match each transaction to the supporting records appropriate to it, such as executed agreements where required, board approvals, exercise documents, certificates and ledger records. Flag missing required evidence or inconsistencies for counsel/accounting review. Go line by line. A certificate alone may not establish complete issuance evidence. Use the Exercised Options and Cancelled Securities reports to check exercises and cancellations against the ledger. Our guide to preparing a cap table for due diligence covers this step in more detail.
5. List the gaps and give each one an owner
Flag missing required evidence or inconsistencies for counsel/accounting review: transactions without the supporting records they need, records with no matching transaction, and numbers that don’t agree. Give each gap an owner, usually company counsel or your accountant, and a date. Gaps are easier to fix now than in the middle of a review.
6. Keep the records current after the move
Whichever tool you use next, match each transaction to the supporting records appropriate to it before you rely on the new cap table. Then keep adding documents as you issue shares, grant options or sign SAFEs, so the next round or sale starts from a record that is already checked.
Tax forms: check the timing with your accountant
If employees exercised incentive stock options (ISOs) in 2026, the company generally has to file IRS Form 3921 for each exercise and give each employee a statement (IRS instructions for Form 3921). The IRS general instructions set January 31 as the date to give employees their statements, moved to the next business day when it falls on a weekend. January 31, 2027 is a Sunday, so the employee statement date should be Monday, February 1, 2027. That is the date for employee statements, not the IRS filing deadline, which is set separately in the IRS instructions. Recheck the current IRS instructions for both dates. Pulley’s limited data access ends January 31, 2027. Pull the Exercised Options report before November 30, and confirm the filing details with your accountant.
If you advise companies that used Pulley
Trusted Advisors such as fractional CFOs, accountants and law firms can run the same six steps for each client: export before November 30, save in a company-owned folder, check, match to supporting records, flag gaps. Agree with each client who owns the export folder and the gap list. Diligence Ready gives advisors one dashboard for all the companies they serve.
Where Diligence Ready fits
Diligence Ready keeps the cap table on one ledger, with each issuance linked to its agreement. The diligence room uses a checklist that shows what’s complete and what’s still missing, and your files can stay in your own Google Drive or OneDrive. We don’t promise a one-step move from Pulley’s export, so plan a review step. Diligence Ready is not affiliated with Pulley or Carta, and this guide is not legal or tax advice.
FAQ
When does Pulley shut down?
Pulley’s FAQ says Pulley shuts down on December 8, 2026. After that, the app is no longer accessible and the team is no longer available. Pulley’s FAQ also says data is accessible only in a limited capacity after November 30, 2026 if you haven’t started a migration, and in a limited format until January 31, 2027. Confirm your account’s access with Pulley.
What should I export from Pulley?
The full cap table history (Download Cap Table, All Time), the Data Room ZIP (Download All), share certificates if you issued them through Pulley, and the Granted Securities, Vesting Details, Exercised Options and Cancelled Securities reports.
Does Pulley’s export include my documents?
It includes what was uploaded or generated in the Data Room. Pulley’s export guide says Download All gives one ZIP file with your uploaded agreements, board consents, auto-generated documents and files, with your folder structure kept. That may not be every signed or complete record, so check it against your supporting records. The cap table itself is a separate Excel download.
Can I still get my Pulley data after November 30 or December 8?
Access after November 30 depends on your account, so don’t plan around it. Export and verify before November 30; confirm account-specific access with Pulley.
Will Pulley help me move to a provider other than Carta?
No. Pulley’s FAQ says it can’t help with a move to any provider other than Carta. November 30, 2026 is the date to opt in to sharing your contact and contract details with Carta. Pulley says this opt-in only permits that contact sharing and is not itself an agreement to migrate.
How do Pulley and Carta compare with other options?
That’s a different question from this checklist. See our Pulley alternative page for key dates and a dated, sourced comparison.
